1. Agreement to Terms

By accessing or using the Zendeeps website and services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our website or use our services.

2. Services

Zendeeps provides design and development services including but not limited to:

  • UX/UI Design
  • Web Design and Development
  • Webflow Development
  • SaaS Product Design
  • Design Systems
  • Brand Identity Design

The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate proposal or contract.

3. Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate and complete information about your project requirements
  • Provide timely feedback and approvals to keep the project on schedule
  • Supply all necessary content, assets, and materials as agreed
  • Make payments according to the agreed schedule
  • Designate a single point of contact for project communications

4. Payment Terms

Pricing

All prices quoted are in USD unless otherwise specified. Prices are valid for 30 days from the date of the proposal unless otherwise stated.

Payment Schedule

Unless otherwise agreed in writing:

  • A 50% deposit is required before work begins
  • The remaining 50% is due upon project completion
  • For larger projects, milestone-based payments may be arranged

Late Payments

Payments not received within 14 days of the due date may be subject to a late fee of 5% per month. We reserve the right to suspend work on any project with outstanding payments.

5. Intellectual Property

Client Materials

You retain all rights to materials you provide to us (logos, content, images, etc.). You grant us a license to use these materials solely for the purpose of completing the project.

Deliverables

Upon full payment, you will own the final deliverables created specifically for your project. We retain the right to use the work in our portfolio and for promotional purposes unless otherwise agreed.

Third-Party Assets

Any third-party assets (fonts, stock images, plugins) may be subject to separate license terms. We will inform you of any additional licensing requirements.

6. Revisions and Changes

Each project includes a specified number of revision rounds as outlined in the proposal. Additional revisions or changes to the project scope may incur additional charges.

Significant changes to project requirements after work has begun may require a revised proposal and additional fees.

7. Project Timeline

We will make every effort to meet agreed-upon deadlines. However, timelines may be affected by:

  • Delays in client feedback or approvals
  • Changes to project scope
  • Delayed provision of required materials
  • Circumstances beyond our reasonable control

8. Confidentiality

We agree to keep confidential any proprietary information shared with us during the course of the project. This includes business strategies, trade secrets, and unpublished product information.

9. Limitation of Liability

To the maximum extent permitted by law, Zendeeps shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific project giving rise to the claim.

10. Termination

Either party may terminate a project with 14 days written notice. In case of termination:

  • You will pay for all work completed up to the termination date
  • We will deliver all completed work and work-in-progress
  • Deposits are non-refundable but will be applied to work completed

11. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we do not guarantee specific results such as increased sales, traffic, or conversions.

Our website and services are provided "as is" without warranties of any kind, either express or implied.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Dhaka, Bangladesh.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified terms.
